As of December 31, 2025, the Board of Directors comprised 12 members. Eight were elected by shareholders: three women (38%) and five men, and four were elected by employees in Denmark: one woman (25%) and three men. According to the methodology of the Gender Balance Act, gender balance was achieved in both groups.
Executive Management comprised two members, the CEO and the CFO, with one woman (50%) and one man (50%). The Executive Leadership Team (ExLT), which includes the Executive Management, consisted of two women (25%) and six men (75%). In 2025, the Board set a target of 30% female representation for “other management levels” at Novozymes A/S by June 30, 2026. “Other management levels” covers the ExLT and people managers reporting to them. To support this target, Novonesis has advanced inclusive hiring practices, reinforced shared leadership accountability for promotions, and addressed structural barriers such as flexibility, organizational design, and visible role models. As of December 31, 2025, the number of employees at other management levels was 42, of which 29 % were female.

Novonesis Tax Strategy in the United Kingdom
This document sets out Novonesis’ strategy and approach to conducting its tax affairs in the U.K.
This strategy applies to the list of entities set out below. The strategy is in effect for the current financial year and reviewed annually. Novonesis regards the publication of this tax strategy as complying with the duty under paragraph 16(2) of Schedule 19 of the Finance Act 2016.
Risk management and governance arrangements
The Novonesis tax policy sets out the group’s approach to conducting its tax affairs. The policy applies to all of Novonesis’ group entities, including those in the U.K. Please refer to the risk management and governance descriptions in the Novonesis tax policy.
The tax team in the corporate headquarter and the finance employees responsible for U.K. affiliates are in regular dialogue. This dialogue ensures that issues that may have a material tax impact are addressed and items that create tax risk are effectively managed.
Attitude towards tax planning and level of risk
The Novonesis tax policy sets out the group’s approach to tax planning and level of risk. The policy applies to all of Novonesis’ group entities, including those in the U.K. Please refer to the Novonesis tax policy.
Relationship with HMRC
In accordance with the Novonesis tax policy, the group seeks good relationships with all tax authorities, including HMRC.
We are committed to the principles of openness and transparency in our approach to dealing with tax authorities wherever we operate around the world. All dealings with the tax authorities and with other relevant bodies will be conducted in a collaborative, courteous and timely manner.
